In Monkey Business, the collateral is comprised mostly of soft collateral, but also includes a floating charge over property in England and Wales, and some personal assets of entities located in the United States. It’s worth enquiring with the issuer as to the nature and value of these assets.
- Stonegate Refi: Our review of the comparison against the prior deal highlighted the removal of first legal mortgages, previously asignificant security component. As a lender, understanding why such change soccur and adjusting your risk assessment accordingly is crucial.
Informing Your Analysis
Here are some practical steps for diving deeper into high yield bond documentation:
- Disclosure Review:
- Detailed disclosures help in differentiating between the types of collateral. Ensure youlook at both the summary disclosure and the more in-depth description in theDoN for a comprehensive understanding.
- Risk Factors:
- These are goldmines for identifying potential pitfalls. They provide plain-Englishexplanations that are essential for assessing the borrower's risk profile andenforceability of guarantees. It’s where the bodies are buried, so to speak.
- Three Asset Buckets Strategy:
- Bucket 1: Current collateral pledged in the existing deal.
- Bucket 2: Assets pledged to other lenders.
- Bucket 3: Remaining unpledged assets, which could be utilized in future deals.
Understanding these buckets helps predict whether there’s capacity for the borrower to raise additional funds down the line, potentially priming your collateral position.
